Minimum unit holders requirement for unlisted InvITs, introduced via SEBI (Infrastructure Investment Trusts) (Amendment) Regulations, 2021

The Securities Exchange Board of India makes Securities and Exchange Board of India (Infrastructure Investment Trusts) (Amendment) Regulations, 2021 to further amend the Securities and Exchange Board of India (Infrastructure Investment Trusts) Regulations, 2014.  

Key points:

(3) The minimum number of unit holders in an InvIT, other than the sponsor(s), its related parties and its associates, shall be five, together and collectively holding at least  twentyfive percent of the total units of the InvIT, at all times.
Explanation. For the purposes of this subregulation, a unit holder along with its  associates and related parties, shall be considered as a single unit holder.
